The agreement between you and CloudClerks for using our site, API, and cloud VM services.
Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of CloudClerks' website, API, CLI, and cloud VM services (together, the "Service"). By creating an account, deploying a VM, or otherwise using the Service, you agree to these Terms. If you're using CloudClerks on behalf of an organization, you're agreeing on its behalf and confirming you have the authority to do so.
Description of Service
CloudClerks provides on-demand cloud virtual machines, billed on a usage or subscription basis, deployable across our available regions. We may add, change, or discontinue features of the Service at any time, and we'll make reasonable efforts to notify you of material changes that affect you.
Account Registration
You must provide accurate information when creating an account and keep it up to date. You're responsible for safeguarding your password and for all activity that happens under your account. Let us know right away if you suspect unauthorized access.
Acceptable Use
You agree not to use CloudClerks to:
- Host or distribute malware, or launch attacks against other systems;
- Send unsolicited bulk email or engage in other spam-related activity;
- Violate the intellectual property or privacy rights of others;
- Mine cryptocurrency in a way that violates plan-level resource limits without prior approval; or
- Engage in any activity that is illegal in the jurisdiction where the underlying infrastructure is located.
We may suspend or terminate instances that violate this policy, with notice where practical.
Payment and Billing
Plans are billed monthly in advance unless otherwise stated. Usage-based charges (such as bandwidth overages) are billed in arrears. You authorize us to charge your payment method on file for all fees due. Prices are subject to change with at least 30 days' notice for existing subscriptions.
Cancellation and Refunds
You may cancel your account at any time from your account settings; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable, though we handle billing errors and duplicate charges on a case-by-case basis - just reach out to support.
Service Availability
We work hard to keep CloudClerks reliable, but the Service is provided on an "as available" basis. Scheduled maintenance, third-party infrastructure issues, and events outside our control can affect availability. This section describes our operating approach and is not a guaranteed service-level commitment.
Affiliate Program Terms
Participation in the CloudClerks Affiliate Program is subject to acceptance of a separate affiliate agreement presented at application, which covers commission rates, payout terms, and permitted promotional methods. These Terms govern your use of the core Service; the affiliate agreement governs your participation in the referral program specifically.
Intellectual Property
CloudClerks and its logos are our trademarks. You retain all rights to the content, code, and data you run on your VMs. You grant us only the limited rights necessary to operate, secure, and support the Service on your behalf.
Limitation of Liability
To the maximum extent permitted by law, CloudClerks will not be liable for indirect, incidental, or consequential damages arising from your use of the Service, including loss of data or business interruption. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose.
Termination
We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or as required by law. You may stop using the Service and cancel your account at any time. Sections that by their nature should survive termination - including billing, liability, and intellectual property - will survive.
Governing Law
These Terms are governed by the laws of the jurisdiction in which CloudClerks is incorporated, without regard to conflict-of-law principles, unless a different governing law is required by applicable consumer protection law where you live.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the Service before they take effect. Continuing to use CloudClerks after changes take effect means you accept the updated Terms.
